Welcome to Ayfina Agency. These Terms and Conditions outline the rules and regulations for the use of our web design, AI development, and conversion optimization services. By accessing our website or engaging our services, you agree to be bound by these terms.

1. Definitions

• "Company", "We", "Our", "Us" refers to Ayfina LLC, a Wyoming-registered limited liability company.
• "Client", "You", "Your" refers to you, the person or business entity engaging our services.
• "Services" refers to web design, website development, AI integration, conversion rate optimization (CRO), UX consulting, and related digital services provided by Ayfina.
• "Website" refers to ayfina-agency.com and any client websites we build or manage.
• "SOW" refers to a Statement of Work—a separate document outlining specific project scope, deliverables, timeline, and pricing.
• "AI Tools" refers to artificial intelligence software, platforms, and models we use to accelerate design, development, and optimization.

Ayfina LLC is legally registered in the State of Wyoming, USA. Our registered address and contact details are provided at the end of this document.

3. Services & Scope of Work

3.1 Service Description

Ayfina provides modern web design and development services with a focus on:

• Futuristic Web Design: Custom websites with modern aesthetics, micro-animations, and immersive user experiences
• AI-Powered Development: Leveraging AI tools to accelerate coding, generate copy, create imagery, and implement smart features
• Conversion Rate Optimization (CRO): Data-driven design decisions to maximize leads, sales, and user engagement
• Best Practices Implementation: SEO foundations, mobile optimization, accessibility standards, and performance optimization

3.2 Statement of Work (SOW)

The specific scope, deliverables, timeline, and pricing for your project will be outlined in a separate Statement of Work (SOW) or project proposal. This SOW will be provided before work begins and, once signed by both parties, becomes part of this agreement. In case of any conflict between these Terms and the SOW, the SOW shall prevail.

3.3 Discovery & Strategy Phase

All projects begin with a discovery phase where we learn about your brand, audience, goals, and technical requirements. During this phase:

• You agree to provide timely access to brand assets, content, and stakeholder feedback
• We may request access to your current analytics, existing website, or competitor data
• Strategic recommendations will be presented for your approval before design begins

4. AI Tools & Automation

4.1 How We Use AI

As a modern agency, we embrace AI to deliver better results faster. We may use AI tools for:

• Generating initial design concepts and variations
• Creating placeholder or final copy (with human editing)
• Generating custom imagery and graphics
• Writing and optimizing code
• Analyzing user behavior for CRO recommendations
• Implementing chatbots or AI features on your website (if requested)

4.2 AI Output Quality

While AI accelerates our work, every output is reviewed, refined, and approved by our human team before delivery. We stand behind the quality of our work, regardless of the tools used to create it. However, AI models can occasionally produce unexpected results—we catch these through our quality assurance process.

4.3 AI Training & Your Data

We do not use your proprietary content, brand assets, or client data to train public AI models. Any AI tools we use are configured to respect your privacy. Custom AI features built specifically for your website (like chatbots) are trained only on the data you provide and remain your intellectual property.

5. Intellectual Property Rights

5.1 Ownership of Final Deliverables

Upon receipt of full payment for your project:

• You own the final website design and custom code created specifically for you
• You own any custom graphics, illustrations, or content we create for your project
• You receive full commercial usage rights to all final deliverables

5.2 What We Retain

Ayfina retains ownership of:

• Our proprietary frameworks, methodologies, and internal tools
• Reusable code libraries and components we've developed over time
• Pre-existing templates, patterns, and design systems (unless custom-built for you)
• Tools, software, and third-party assets we license (you receive a license to use them within your website, but we don't transfer ownership)

5.3 Third-Party Assets

If we incorporate third-party assets (fonts, icons, stock photos, plugins, etc.), you agree to comply with their respective licenses. We'll inform you of any attribution requirements or license restrictions.

5.4 Portfolio Rights

We reserve the right to display completed projects in our portfolio, on social media, and in award submissions unless you explicitly opt out in writing. We never share confidential information like analytics data or proprietary business metrics.

6. Payment Terms

6.1 Pricing & Quotes

All pricing is provided in USD and does not include applicable taxes unless stated otherwise. Quotes are valid for 30 days from the date of issue.

6.2 Payment Structure

6.3 Payment Methods

We accept payments securely via:

• Stripe: Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay
• Bank Transfer: Available for larger projects (contact us for details)
• PayPal: Available upon request

6.4 Late Payments

Invoices unpaid after 15 days may incur a 1.5% monthly late fee (18% APR). If payment is more than 30 days overdue:

• Work on your project may be paused until payment is received
• Completed websites may be taken offline (for hosted projects)
• Access to project files and deliverables may be restricted
• Recovery fees may be charged for reactivating paused projects

7. Client Responsibilities

To ensure project success, you agree to:

• Provide timely feedback within agreed-upon review periods (typically 2-3 business days per round)
• Supply all required content (copy, images, branding assets) according to the project timeline
• Grant necessary access to hosting, analytics, or third-party platforms when needed
• Make timely payments according to the agreed schedule
• Appoint a single point of contact for streamlined communication

8. Revision Policy

8.1 Included Revisions

Our packages include reasonable revision rounds as specified in your SOW:

• Starter Package: 1 round of revisions
• Conversion Machine: 3 rounds of revisions
• The Full Future: Unlimited revisions during active development phase

8.2 Revision Scope

Revisions cover refinements to approved concepts, not fundamental changes to project scope. If you request significant new features or a complete direction change after work has begun, we'll provide a separate quote for the additional work.

8.3 Feedback Deadlines

Feedback must be provided within the timeframe specified in your SOW (typically 3-5 business days). If we don't receive feedback within 14 days, the project may be considered on hold, and future availability cannot be guaranteed.

9. Hosting & Technical Support

9.1 Hosting

Unless otherwise specified, we build websites on modern platforms like Framer, Webflow, or custom-coded solutions. Hosting is typically your responsibility unless we've agreed to a managed hosting package. We'll provide full instructions for launch and can recommend hosting providers if needed.

9.2 Post-Launch Support

All projects include 14 days of post-launch support to address any minor bugs or issues that arise after going live. This includes:

• Fixing display issues on specific devices/browsers
• Correcting functionality that doesn't work as intended
• Addressing content migration issues

After this period, ongoing support is available through retainers or hourly rates.

9.3 Maintenance Retainers

We offer monthly maintenance retainers that include:

• Security updates and plugin/ platform updates
• Regular backups
• Performance monitoring
• Minor content updates (hourly allotment varies by package)
• Priority support

10. Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary business information, client data, analytics, and trade secrets shared during the engagement. This includes:

• Your conversion data and business metrics
• Unreleased designs and strategic concepts
• Proprietary business processes
• Customer or user data (if shared for CRO purposes)

This confidentiality obligation survives the termination of our agreement.

11. Warranties and Limitations of Liability

11.1 "As Is" Basis

Our services are provided on an "as is" and "as available" basis. While we strive for excellence, we make no guarantees that:

• The website will operate uninterrupted or error-free
• Specific conversion rate improvements will be achieved (CRO is based on data-informed decisions, not guarantees)
• Third-party platforms (hosting, payment processors, APIs, etc.) will remain available

11.2 Limitation of Liability

To the maximum extent permitted by law, Ayfina LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any changes we may make to our services
• Unauthorized access to your website or data
• Statements or conduct of any third party

Our total liability to you shall not exceed the total amount paid by you to Ayfina during the 12 months prior to the event giving rise to liability.

11.3 Third-Party Services

We're not responsible for the availability, reliability, or security of third-party platforms (Framer, Webflow, Stripe, Google, etc.). Your use of these services is governed by their respective terms.

12. Termination

12.1 Termination by Client

You may terminate the agreement with written notice. Upon termination:

• You're responsible for payment for all work completed up to the termination date
• Unused deposit amounts (for work not yet started) will be refunded
• Completed deliverables will be provided upon final payment

12.2 Termination by Ayfina

We may terminate the agreement with 7 days' written notice if:

• You fail to make payments when due
• You breach any material term of this agreement
• You provide false or misleading information
• You're unresponsive for more than 30 days

12.3 Effects of Termination

Upon termination, we'll provide final deliverables for work paid for in full. Confidentiality obligations survive termination.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Sheridan County, Wyoming.

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. Material changes will be notified via email or a prominent notice on our website. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
